Terms summary

Last updated October 15, 2026 ยท The full terms come with every quote and are the ones that apply.

Our agreement is three documents read together: our terms, the schedule for your service, and the quote you accept. If they disagree, the quote wins over the schedule, and the schedule wins over the terms. You accept by replying "yes" to the quote or by sending a purchase order that names it. This page summarizes the terms in plain words.

1. What we do

We prepare the documents listed in your quote and your service's schedule, from the information and records you give us. That list is the whole scope; anything else needs a written agreement and a price first. We are an independent contractor, not your employee, agent or representative.

2. What you do

You give us accurate and complete records on time and answer our questions. You make every decision the law gives to you, get any approvals your organization needs, meet your own deadlines, and sign and file. You review what we deliver before you sign it, and tell us within 10 business days if anything is wrong or missing; we correct it at no charge.

3. We prepare; you sign and file

We never sign, file, submit or speak for you, and we never contact a regulator for you. We never ask for passwords or logins to any government system, bank or account.

4. No legal, accounting, tax or engineering advice

Nothing we deliver is a legal opinion, an audit, a review or compilation engagement, an assurance report or an engineer's work. We do not promise any result from a regulator, such as acceptance of a filing or a reduced fine. What we deliver says what we prepared, from which records, and on what date.

5. The reviewer, where your service names one

Where your service's schedule says a licensed reviewer checks the work (IRS group exemptions: an enrolled agent or exempt-organization attorney), the reviewer checks every judgment call before the package reaches you, as an independent professional under their own licence and insurance, and is responsible only for their own review. Where a schedule names no licensed reviewer, it says what check is done instead (water: an experienced water-industry reviewer; Illinois: totals tied to your bank statements).

6. Confidentiality and your records

We keep your information confidential and use it only for your work. Before any paid work starts, we tell you in writing which providers will hold or process your documents and in which countries; if you need a particular country, we agree how, or you may end with a full refund. Within 30 days after the work ends we return or securely delete working files, and we keep what we delivered and our business records for six years. If a breach affects your information, we tell you as soon as we know. We do not name you as a client without your written permission.

7. Fees and payment

The price is the fixed price in your quote, with no hourly billing and no added expenses; a reviewer's fee is included. Water systems and Illinois units: invoice after delivery, net 30. IRS group exemptions: half on acceptance, half on delivery, and work starts when the first half is paid. US buyers pay in US dollars and receive our IRS Form W-8BEN-E. If an invoice is unpaid 30 days after it is due, we may pause open work after telling you in writing.

8. If a regulator sends a filing back

If the body you filed with returns or rejects a filing we prepared for a reason inside our scope, we fix it free and quickly. Send us the notice; we tell you within 2 business days whether the reason is inside our scope. Wrong or incomplete records, facts that changed after delivery, a decision that was yours, a rule that changed after delivery, or a late filing are outside it, and any work on them is quoted first.

9. When a rule changes

If the rule behind your filing changes before we deliver and changes what the documents must say, we update them at no extra charge within the same scope. If a change removes the need for the work before it starts, either side may end the agreement and you get a full refund. A change after delivery that needs new work is quoted first.

10. Ending the work

Either side may end the agreement before work starts, by email, with a full refund of anything paid. Work starts on the day we email you that we have begun. After that, you may end at any time: you pay for work done up to that day, never more than the quoted price, and we deliver what is done. We may end if records or payment the work needs have not arrived within 30 days of our written request, on the same basis.

11. Limits on liability

Our total liability for all claims connected with the agreement is capped at the fees you paid us under it. We are not liable for indirect or consequential losses, including fines, penalties, interest, late fees or lost funding, or for losses caused by information you gave us, a decision that was yours, or a filing made late or not made. Nothing limits liability the law does not allow to be limited.

12. Ownership

You own what we deliver once it is paid for, and may use and change it as you like. We keep our templates, methods and general know-how.

13. Law and disputes

The laws of British Columbia and the federal laws of Canada that apply there govern the agreement, and the courts of British Columbia decide any dispute. Before going to court, either side first writes to the other setting out the problem, and both try in good faith to settle it within 30 days.

Questions about the terms?

Ask before you accept a quote: hello@publicfilingdesk.com. If your purchase order carries its own terms, ours still apply unless we both agree otherwise in writing.
